Founded as Mallinckrodt in 1867, the $2 billion Covidien Pharmaceutical segment is in the process of spinning off into a separate business.  This creates exciting opportunities to grow your career within an established organization that is soon to be an independent public company.  Currently, the Company expects that the spinoff process will be completed in mid-2013.  While we are undergoing the process, the Pharmaceuticals business remains a segment of Covidien, and will continue to operate according to the Company’s strategic plan, focusing on our customers and patients who rely on our products.  Equally important, Pharmaceuticals’ mission remains the same: To make diagnostics and medicines better and safer for you and your family.


Mallinckrodt‘s Pharmaceuticals business in the Latin America (LATAM) region consists of sales and related administration yielding over $100 million USD in sales revenue across 20 countries, and has over 100 employees.  The business is comprised of an Imaging division selling contrast media and nuclear medicine products, and a Pharmaceutical division selling active pharmaceutical ingredients and dosage pain relief products.



Provide a full range of commercial, compliance and corporate legal services to the Mallinckrodt Pharmaceuticals business in the LATAM region.  Act as a business partner to internal clients as well as an ethical leader for the benefit of the corporation as a whole.  Manage outside counsel in LATAM and act as a counsel on specific LATAM matters.  Assist in the preparation and negotiation of legal documents such as distribution, consultancy, clinical trials and other healthcare business related agreements, and advise on employment matters.



The Regional Legal function will be highly customer, client and compliance oriented, with particular emphasis on proactive legal services to ensure maximum self-empowerment and preventative advice for the client.  Senior management of the Mallinckrodt Pharmaceutical’s LATAM business will be located in St. Louis, Missouri, USA.  The Regional Counsel will provide local law and language expertise to the Mallinckrodt Pharmaceuticals businesses, and in particular senior management within the LATAM region, on a variety of legal topics including the following:


(i)       Commercial


Contracts, including Sales, Procurement / Purchasing, Facilities (e.g.: Security, Maintenance, Real estate), Manufacturing / Outsourcing Agreements, Sub-Contracting, Agency, and Distribution agreements.


(ii)      HR and Employment


Support HR and management in personnel related matters, including hiring, training, problem resolution and labor / works council issues.


(iii)      Ethics & Legal/Corporate Governance


Implementation of Mallinckrodt Compliance Program, Compliance Training including FCPA, Eucomed Guidelines, Competition, and Sarbanes-Oxley Act.


(iv)      Business Development & Licensing


Support of divestitures, strategic acquisitions and licensing initiatives.


(v)      Corporate Secretary Function


Support legal entity structure and operation, advising on and documenting corporate actions, appointment of directors and officers, and compliance with related legal requirements, including annual reporting.


(vi)      Management of Outside Counsel and Staff


The above legal support will be provided by direct efforts (including support staff) and through engagement and management of outside counsel or other external support.  Regional Counsel will be responsible for related expense management.  A paralegal will comprise the staff reporting to Regional Counsel, with shared access to adminstrative assistant support.


The Mallinckrodt LATAM Corporate Legal Department is based on a centralized shared services model assisting both Mallinckrodt Imaging and Pharmaceuticals divisions across the LATAM territory on a consistent basis.

Education required/ preferred:A civil law country Law Degree and admitted to practice in at least one country within the region and excellent academic credentials 
Experience:8 – 12 years experience gained in either major International law firm and/or multinational company engaged in the healthcare industry (Pharmaceutical and Imaging experience would be an advantage) 
Preferred Skills/Qualifications:Required – Fluent in Spanish and English language, both spoken and written.  Portuguese would be a plus.

This position will be located in St. Louis, MO USA and will report to the Associate General Counsel – International & Commercial located in St. Louis, MO USA.  This position will have the support of a Paralegal and an Administrative Assistant (shared).



Normal office environment

Significant travel within the region will be routinely required (e.g., 40%+).
